01Acceptance of these terms

These Terms & Conditions ("Terms") are a binding agreement between you and Assayva, a brand of The Nelson M Group LLC ("Assayva," "we," "us"). They govern your use of assayva.com and related services, among them email and text-message programs (the "Services"). By using the Services or submitting a form, you agree to these Terms, our Privacy Policy, and, if you opt in to texts, our SMS Terms. Do not use the Services if you disagree with any of this.

02What Assayva is, and is not

Assayva is an information service. We publish general, plain-language details about how clinical research works, how to read a study listing, what informed consent means, and which questions to ask a study team, and let visitors opt in to related updates. We will not give medical advice, diagnosis, or treatment, do not run, recruit for, or enroll people in clinical studies, and do not match or refer people to studies or research sites, and we do not share your details with study sponsors, research sites, recruiters, pharmaceutical or device companies, lead-generation companies, or any other third-party partners.

• Decisions about your health and about taking part in any research are yours. Reading our content does not obligate you to do anything.
• Your doctor and the study team, not Assayva, decide whether a study is right for you and explain its risks, procedures, and conditions.
• Every study is different. We will not guarantee that any study is safe, suitable, or open to you, or that you will qualify for or benefit from any research.

03Eligibility

Use of the Services requires that you be at least 18 years of age, based in the United States, and legally able to contract. You may submit information solely about yourself or about someone who has authorized you to act for them.

04Your information and accuracy

You are responsible for supplying accurate, current information and for updating it when it changes. Only a mobile number you own or are authorized to use may be provided. If your number changes or is reassigned, please reply STOP from the old number or contact us so that we do not message someone else.

05Communications and text-message consent

If you opt in, you agree that we may contact you by email and, if you check the applicable boxes, by automated text messages as outlined in the SMS Terms. Consent to texts is optional, is not a condition of purchase or of using the Services, and may be withdrawn at any time by replying STOP. Message frequency varies. Message and data rates may apply. Reply HELP for help.

06Text messaging: rates, frequency, STOP and HELP

Message and data rates may apply. Message frequency may vary (up to about 8 messages a month, depending on the topics you choose). Text START to join, or opt in with the form on our Get Started or text updates page. Consent is not a condition of purchase or of using the Services.

• STOP: Reply STOP to any message to opt out (STOPALL, UNSUBSCRIBE, CANCEL, END and QUIT also work). You will get one confirmation text and then no more messages.
• HELP: Reply HELP to any message for help, or contact us by email at [email protected] or by phone at 888-912-1958.

Mobile information and opt-in data are not sold or shared with third parties or affiliates for marketing or promotional purposes. See the Privacy Policy and SMS Terms.

07Acceptable use

You must not: (a) enter false or misleading details, or another person's details; (b) use the Services for anything unlawful, fraudulent, or abusive; (c) interfere with the Services or try to gain access you are not allowed; (d) submit forms with bots or other automated tools; (e) copy, scrape, or resell our content without our permission; or (f) pretend to be someone else. We may suspend or end your access if you do any of these.

08Third-party organizations and links

Organizations, programs, and products mentioned on or linked from the Services (say government agencies, hospitals, or patient organizations) are managed by third parties, not by us. We will not recommend any product, plan, or provider, and we are not answerable for their conduct, content, or results. Your relationship with any doctor or study team is between you and them.

09Intellectual property

The Services, for example the Assayva name, logo, text, graphics, and design, are owned by us or our licensors and covered by intellectual property laws. Your license to view and use the Services is limited, revocable, non-exclusive, and non-transferable, and is for personal, non-commercial purposes. Site photographs are used under their respective free-use licenses.

10Disclaimers

Services and content are delivered "as is" and "as available," and we disclaim every express or implied warranty, including merchantability, fitness for a particular purpose, accuracy, and non-infringement. Uninterrupted, error-free, or secure service is not warranted, and neither is the delivery or timeliness of any message.

Assayva does not provide financial, legal, or tax advice, and makes no representation about any medical outcome, study result, or eligibility.

11Limitation of liability

Where the law permits, Assayva and The Nelson M Group LLC, and their members, managers, officers, employees, and agents, will not be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages, or for any loss of profits, data, or goodwill, arising from or related to your use of (or inability to use) the services, or from any health or research decision you make or do not make. Our total liability for any claim relating to the services will not exceed one hundred U.S. dollars ($100).

In jurisdictions that do not allow certain limitations, those limitations may not apply to you. These Terms never limit liability that the law says cannot be limited.

12Indemnification

You agree to hold The Nelson M Group LLC, its affiliates, and its personnel harmless, and to indemnify them, for claims, damages, and expenses (reasonable attorneys' fees included) arising from your violation of these Terms, from misuse of the Services, or from giving a phone number or other data that you were not authorized to provide.

13Disputes, governing law, and arbitration

Informal resolution first. Please let us know about any problem first, at [email protected] giving us 30 days to try to work it out.

Binding arbitration. Except for small-claims matters and claims for injunctive relief for intellectual-property misuse, any dispute between you and Assayva or The Nelson M Group LLC arising out of or relating to these Terms or the Services will be resolved by final and binding individual arbitration administered by the American Arbitration Association under its Consumer Arbitration Rules. The arbitration will be conducted in your county of residence or by video or phone, at your choice. The arbitrator may award the same individual relief as a court, and judgment may be entered in any court of competent jurisdiction.

Class-action waiver. To the extent permitted by law, you and Assayva each agree to bring claims only on an individual basis and not as a plaintiff or class member in any class, collective, or representative action.

Opt-out. You can opt out of arbitration within 30 days of your first acceptance of these Terms by emailing [email protected] and state "Arbitration Opt-Out" in the subject line, along with your name and mobile number.

Governing law. These Terms are governed by the Federal Arbitration Act and to the law of the state of The Nelson M Group LLC's principal place of business, disregarding conflict-of-law rules. Other than as the arbitration clause supplies, courts of that state, state and federal, have exclusive jurisdiction.

14Termination

You may stop using the Services at any time, and may opt out of messages by replying STOP. We may suspend or terminate access at our discretion, including for violations of these Terms. Sections that by their nature should survive (including disclaimers, limitation of liability, indemnification, and disputes) will survive termination.

15Changes

We reserve the right to revise these Terms. Revised Terms will carry a new "Last updated" date, and your continued use of the Services after the effective date counts as acceptance. We will give notice of material changes as the law requires.

16General

These Terms, the Privacy Policy, and the SMS Terms make up the whole agreement between you and us on this subject. An unenforceable part does not affect the remainder, and our not enforcing a provision is not a waiver of it. You may not assign these Terms without our consent. We may assign them in connection with a merger or sale of the business.
